This Membership Agreement sets out the Terms and Conditions of Membership and incorporates the Rules and Regulations (the ‘Spa Rules’). Membership is subject to the Terms and Conditions and at all times conditional upon the Member abiding by the Spa Rules. Before committing to membership, you should read carefully this Membership Contract & the Spa Rules.
We have made every effort to formulate the Membership Agreement in easily understandable language and to make the documentation as simple as possible. Should you, however, have any questions regarding the meaning or effect of any part of the membership documentation, you should please raise them with a representative of Spa at Charlotte square.
In signing the membership application form you are entering this membership agreement that is a legally binding contract.
TERMS AND CONDITIONS
1. CONSTITUTION
1.1 The Spa At St.David’s operated by Charlotte square opco Limited who is owned by IHG No 11361073 whose registered office is at IHG Broad Water Park, North orbital road, Denham, Buckinghamshire, YB9 5HR.
1.2 The objects of The Spa At Charlotte square are to provide for its members Spa and Fitness Facilities usually associated with such a Spa. The Spa reserves the right to vary, add or eliminate from time to time any of the particular facilities or services provided by the Spa.
1.3 The general management of the affairs of the Spa in all matters is under the entire control of and is conducted by; The Kimpton Charlotte square hotels appointed representatives and agents from time to time.
2. ACCEPTANCE AS A MEMBER
2.1 Acceptance as a Member of The Spa is at the Management’s absolute discretion. The date on which a Member’s Membership Term begins will be determined in accordance with paragraph 4.1 below. Upon acceptance the Member shall be issued with a Membership card subject to paragraph 3.5 below and shall be entitled to all rights and privileges exercisable by the level of membership to which the Member has been accepted under this Membership agreement.
2.2 Acceptance by the Spa of the member’s application shall constitute a legally binding contract between Spa at Charlotte square and the member upon the terms and conditions of this membership agreement as amended from time to time by the spa at Charlotte square.
3. MEMBERSHIP
3.1 The Management at The Spa at Charlotte square shall be entitled, at its absolute discretion and at any time, to request evidence of a Member’s status and entitlement to a particular category of Membership. In the event of the management not being satisfied with such evidence of the Member’s current status, the management shall be entitled, at its absolute discretion, to terminate the member’s Membership in accordance with section 7 below.
3.2 Where two or more people sign this membership agreement (as joint members) their obligations shall be joint and several. Any notice by or to one person shall be deemed to have been given by or to both.
3.3 Applicants for Membership shall be at least 18 years old.
3.4 Each Member will be issued with a Membership Card, which is the property of the spa at Charlotte square. Members must bring their Membership Cards when visiting to gain access to the Spa areas included in their membership category and show them to a member of the Spa staff when asked to do so. Any misuse of Membership Cards will result in an immediate termination of membership.
3.5 Members wishing to change their membership category or status must put the request in writing to the Membership Consultant one month in advance.
4. MEMBERSHIP TERM & CATEGORIES
4.1 The Membership Term shall begin on the date of acceptance by the management of the spa at charlotte square
4.2 The minimum Membership Term shall be 30 days. During the first 14 days of the Membership Term a member is entitled to terminate their membership and receive a full refund on their Joining Fee; subsequently a Member shall not be entitled to terminate their membership and shall be liable for the full subscription for the 1 month period.
4.3 A Member may terminate his/her Membership after the first month with one months’ notice given in writing to the management at he spa at Charlotte square
4.4 A Member may terminate his/her Membership at the end of the first month with notice given in writing to the management at The Spa At Charlotte square
4.5 The Membership Term will run from month to month, determinable with one (1) months’ notice. In all cases of termination after the first anniversary of Membership, the Member will be liable for the Subscription covering the one month notice period.
4.6 The membership categories and entitlements are listed in the spa at Charlotte squares current Spa Literature. New categories may be introduced at the discretion of The Spa At charlotte squares management.
5. SUSPENDING YOUR MEMBERSHIP
5.1 You can suspend your membership for medical reasons for a period of between 3 and 12 months by giving management 30 days written notice and notification of the date you expect to return and a letter from your doctor confirming that for medical reasons you are unable to use the facilities of the The Spa At Charlotte square.
5.2 If your membership is suspended for more than 3 months then at the end of each 3 month period we may require you to provide us with a further letter from your doctor confirming that for medical reasons you continue to be unable to use the spa facilities. If you do notrovide such evidence within 30 days of being requested to do so we will end the suspension of your membership. You will then revert to your normal category of membership and be liable to pay subscriptions.
5.3 We may, in exceptional circumstances; grant membership suspensions for reasons other than those set out in clause (a) (suspension for medical reasons). Such suspensions must be agreed in writing by the Spa Manager. If we agree to suspend your membership under this clause we may charge you a reasonable monthly fee during the period of suspension. The fee shall be sufficient to cover administration costs and will not exceed £10 per month.
5.4 At the end of the suspension of your membership you can return to the The Spa At Charlotte square without paying a further joining fee.
5.5 You may not enter the spa as a guest while your membership is suspended unless you are paying or with a guest pass.
5.6 Suspending your membership is not the same as ending your membership. You will still have to follow the procedure shown in clause 4, which includes giving 30 days’ notice if you want to end your membership.
6. MEMBER’S JOINING FEE AND SUBSCRIPTION
6.1 A Member may pay a Joining Fee and Subscription at the rates specified in The Spa At Charlotte square's current Spa Literature in effect from time to time. A Membership must remain current in order to avoid paying the Joining Fee again.
6.2 All Members may pay the Subscription, which will become immediately due when the Member is accepted for Membership. The Subscription will be payable as an annual payment or in monthly instalments in advance subject to the following:
(i) Monthly payments shall be paid in advance by direct debit from the Member’s designated bank or building society account in the instalments set out in The Spa At Charlottes squaree's current literature. Monthly amounts due will fall on the first day of each calendar month during the Membership Year. If the Member joins the Spa during the course of a calendar month, the subscription for that month will be payable on a pro-rata basis according to the number of days remaining during that month. Any pro-rata subscription will be drawn on the date of joining along with the full instalment for that month. A member is not entitled to cancel their monthly direct debit within or after a 1 month period without the prior notice or/and permission of the management of The Spa At Charlotte squares. Direct debit is taken 1st every month, this covers from the 1st to the end of that month e.g. direct debit taken on 1/9/19 covers from 1/9/19 to 30/09/19
(ii) Members may opt to pay the Subscription in advance by annual payment. Subscriptions paid annually will have the benefit of any discount or incentive in effect at the time of the Member’s application. The level of discount or incentive from time to time in effect is entirely within the Spa Managers discretion.
6.3 The Spa At Charlotte square reserves the right to increase the Joining Fee and Subscription from time to time, subject to the following:
(i) Increases in the Joining Fee and Subscription will usually take effect at the beginning of the Membership Year and Members will be given not less than one month’s written notice of all increases in the Subscription.
7. FACILITIES AND CHARGES
7.1 Subject to and conditional upon paragraph 6.3 below, use of certain facilities at the Spa is subject to payment of the full tariff charges from time to time in effect. These charges are additional to the Joining Fee and Subscription.
7.2 A list of tariff charges is available at the Spa’s reception. The management at The Spa At Charlotte squares reserves the right at any time to change the tariff charges at its absolute discretion.
7.3 Subject to the facilities available at the Spa, a Member is entitled to use the facilities available under the relevant category of Membership. The Spa At Charlotte square reserves the right to add or to change the facilities from time to time and may also at any time withdraw all or any part of such facilities for any period(s) where the same are required for exhibitions or other activities or in connection with any repair, alteration or maintenance work.
8. SUSPENSION OR TERMINATION OF MEMBERSHIP
8.1 St David’s Spa reserves the right, at any time, to terminate or suspend the Membership of any Member where, in the view of the Spa Management (of The Spa At Charlotte square) absolute discretion, there has been or is likely to be a serious breach of this Agreement or the Spa Rules or where any amounts due and owed to The Spa At Charlotte square by the Member have not been paid. In the event of such suspension or termination, no refund of Joining Fees or Subscription will be made by The spa at Charlotte square and all amounts owed and outstanding in respect of the Subscription for the then current Membership Year (which will be calculated, as applicable, in accordance with paragraphs 4.2 or 4.4) will become immediately due and payable to The Spa At Charlotte square
8.2 The Spa At Charlotte square has the right to prevent entry into the Spa by any Member or former Member whose membership has been suspended or cancelled.
8.3 Fraudulent or deceptive information given by a Member to secure a membership will result in immediate termination of Membership and any action deemed necessary by the management of The Spa At Charlotte square.
9. RULES AND REGULATIONS
9.1 The Member agrees to abide by the Spa Rules, which form part of this Membership Agreement.
9.2 The management at The Spa At Charlotte square may alter the Spa Rules at any time. Alterations will be posted on the Spa’s notice boards, which will constitute due notice of all such changes.
10. CONDUCT
10.1 The management at The Spa At Charlotte square has the right to terminate or suspend a Member’s Membership for reasons relating to conduct as specified in the Spa Rules.
10.2 The management at The Spa At Charlotte square reserves the right to prevent entry into or reject from the Spa anyone whose behaviour or appearance is, in its sole opinion, deemed by it to be unsuitable.
11. PHYSICAL CONDITION OF MEMBERS AND GUESTS
11.1 In applying for membership, the Member warrants and represents that he/she is in good physical condition and that he/she is capable of exercise/activities in all the Spas facilities and that such exercise/activities would not be detrimental to his/her health.
11.2 In registering a Guest at the Spa, the Member warrants and represents that the Guest is in a physical condition suitable for the type of exercise or activity in which the guest engages at the Spa. No guest may be admitted to the Spa without registration, which warrants the guest’s fitness.
11.3 Without in anyway limiting the scope and effect of the Member’s warranty given in paragraphs 10.1 and 10.2 above, it is the Member’s sole responsibility to bring to the attention of the management at The Spa At Charlotte square any medical condition that may present a risk to the Member and/or to a Member’s Guest in engaging in any particular activity. Applicants’ attention is drawn to the Spa Rules.
12. DATA PROTECTION
Personal information which you provide to The Spa in connection with your Membership is held subject to and in accordance with the Data Protection Act 2018. This Act regulates the use of personal data and gives you various rights relating to the maintenance and use of that personal data.
